[email protected]

SCANDIC ASSETS FZCO provides technical operation and maintenance within the scope of its engagement. Providing these services does not, in itself, make it a party to the user’s contract. Each company’s liability is determined by its actual activities, obligations and applicable law.

1. General provisions

1.1 Scope and formation of the contract

These Terms apply to the “BAHRAIN TELEGRAPH” website and associated applications, channels, interfaces, software and services where they are actually offered and reference these Terms. They are collectively referred to as the “Services”.

A user is a person who uses the Services. Consumer status is determined by the applicable legislation; the definition in Bahrain’s Consumer Protection Law includes a natural or legal person obtaining products to meet their own needs or those of their dependants.

Users can review and retain these Terms before concluding a contract. A contract is formed through offer and acceptance in the manner specified for the relevant Service. Merely visiting a publicly accessible page does not create a paid subscription or constitute advance acceptance of future contractual changes. Individually agreed terms take precedence, subject to mandatory law.

1.2 Changes to these Terms

The Provider may propose changes following relevant legislative or judicial developments or an objectively justified change to the Services. Where a proposed change affects an existing contract, the user will receive advance information about its content, reason and proposed effective date in a form that can be retained and consulted.

A change becomes binding on an existing contract only through valid agreement or a valid legal or contractual basis permitting it. Publication of a revised version or the user’s silence does not constitute acceptance. This provision does not permit retrospective introduction of charges or increases to an agreed price. Articles 128 and 129 of Bahrain’s Civil Code govern the binding force of contracts and performance in good faith.

1.3 Rejection of a proposed change

If the user does not accept a proposed change, the existing contractual terms continue to apply unless mandatory law requires otherwise or the contract is validly terminated.

The user may request account closure or subscription termination under clause 10.1, including by emailing [email protected]. Rejecting a proposed change does not, in itself, give rise to a penalty or additional charge. Both parties retain their statutory termination rights.

1.4 Changes to digital content and Services

Changes may be made where necessary for security, legal compliance, fault correction or technical compatibility. This power cannot be used arbitrarily to withdraw an agreed paid benefit or fundamentally change a Service without a valid basis.

Where possible, users will be informed of a material change and its effects before implementation. If the agreed Service can no longer be provided, applicable rights to a remedy, termination or repayment apply according to the circumstances. Describing a change as a technical update does not exclude those rights.

2. Service content and copyright

2.1 Protected content

Texts, photographs, videos, recordings, graphics, software, designs and other qualifying works are protected by copyright and related rights.

These Terms do not create exclusive rights in ideas, data, bare facts or current news constituting mere items of press information. Original expression, photographs and an original selection or arrangement of content may nevertheless be protected under Law No. 22 of 2006 on the Protection of Copyright and Neighbouring Rights, as amended.

2.2 Reuse of content

Republication, translation, adaptation, distribution or communication of protected content requires the right holder’s permission unless covered by an existing licence or an applicable statutory exception.

Quotation and other legally permitted uses remain available subject to their conditions, including attribution and identification of the source where required. Acknowledging the source does not replace permission where permission is necessary.

2.3 Downloads and copies

Content may be downloaded or copied within the functionality provided, the applicable licence and legally permitted uses. Downloading does not, by itself, grant resale, bulk republication or commercial exploitation rights.

Rights notices and attribution must be preserved. Technological protection measures must not be removed or circumvented unlawfully. Applicable statutory exceptions remain unaffected.

2.4 Third-party content

The Services may include material from news agencies, authors and other content providers. Their rights and the applicable licensing conditions must be respected.

Using an external source does not release the Provider from liability arising by law from its own selection, editing, adoption or publication of content. Each party’s responsibility depends on its actual role and the applicable legal rules.

2.5 Automated extraction and artificial intelligence

Automated copying, large-scale extraction, reuse and model training involving protected content are subject to the rights of the relevant right holders, applicable licences and statutory exceptions.

These Terms grant no general licence for such activities. They also create no exclusive right over bare facts and do not exclude uses that the law permits and does not allow contractual terms to restrict. Personal data protection and system security requirements remain applicable.

3. User content, comments and reviews

3.1 Rules for publishing user content

These provisions apply where the Services actually allow users to publish comments, reviews or other material.

Content must be lawful and must not contain threats, defamation, privacy or intellectual property infringements, impersonation, fraud, prohibited incitement or malicious software. Users must hold the rights and permissions necessary to publish their submissions.

Disagreement with the newspaper’s editorial position or lawful criticism is not, by itself, a ground for removal.

3.2 Advertising in user content

Commercial advertisements, promotional links, bulk marketing messages and fundraising requests posted through user features require the Provider’s prior approval, together with any licence or authorisation required by law.

The advertising nature of the content and material commercial relationships must be clearly disclosed. The Provider’s approval does not release the contributor from their legal obligations.

3.3 Rights in user content

Users retain their rights in submitted content.

Where a user validly agrees to these Terms and submits content for publication, the user grants the Provider a non-exclusive, royalty-free licence to store, copy, display and make that content available through the relevant Service to the extent necessary for its intended purpose. The licence covers worldwide online availability during the authorised publication period and technical formatting changes that do not distort the content’s meaning.

Technical contractors may carry out these activities only to the extent necessary. The licence does not constitute a general waiver of moral rights, a transfer of ownership or separate permission to exploit the content in advertising or train artificial intelligence models. Applicable requirements for written agreement, including legally valid electronic form, must be satisfied.

3.4 Content restrictions and objections

Content may be restricted or removed on a legal ground, for breach of these Terms or in compliance with a binding order from a competent authority. Any measure must be proportionate to its grounds.

Users will be informed of the reason where disclosure is lawful and does not jeopardise others’ rights or the security of the Services. Objections may be submitted to [email protected].

Where copyright notice and counter-notice procedures apply, Law No. 22 of 2006, as amended, must be observed. These Terms do not grant a general exemption from liability for content the Provider creates or adopts and publishes itself.

3.5 Removal and subsequent retention

The licence for public availability ends when the content is removed and its publication ends, unless a separate valid agreement authorises a particular continued use.

Copies may be retained to the extent and for the period necessary for legal obligations, claims or restricted backups, as described in the Privacy Policy. Such retention does not authorise continued public exploitation without a valid basis.

Copies independently published by third parties may remain outside the Provider’s technical control, without affecting any legal obligation to take action concerning them.

3.6 Reviews and conflicts of interest

Reviews must reflect an actual experience and must not be misleading. Fabricated reviews, impersonation of customers and concealment of payment or a material commercial interest are prohibited.

Relevant incentives and professional or commercial relationships must be clearly disclosed. Users cannot be required to provide a favourable review to receive something to which they are already entitled.

4. Use of the Services

4.1 Technical requirements and system protection

Users are responsible for having suitable equipment and an internet connection. Material technical requirements and known limitations affecting a paid Service will be disclosed before purchase.

Unauthorised access, credential theft, malicious software, disruption, unlawful circumvention of access restrictions and deliberate overloading that damages systems are prohibited. Security testing requires appropriate authorisation and compliance with applicable law, including Law No. 60 of 2014 concerning Information Technology Crimes.

4.2 Advertising and external links

The Services may display advertising or links to third-party websites and services. The contracting party for an external purchase is determined by the relevant offer and contract.

A link does not constitute a general guarantee of the third party’s content or services. This does not restrict the Provider’s responsibility for its own advertising, conduct or statutory obligations. Commercial content must be recognisable, and advertising claims must not be misleading.

5. Obligations, defective Services and liability

5.1 User liability

Users are responsible to the extent provided by law for their conduct or breach of a valid obligation, taking account of damage, causation and the other requirements for liability.

These Terms do not impose an unlimited obligation to indemnify the Provider against every third-party claim regardless of its cause. Users are not responsible for the Provider’s own fault or the fault of persons for whom it is legally responsible.

5.2 Provision of Services and remedies for defects

Services must meet their agreed characteristics, standard and duration. Maintenance or reliance on a technical contractor does not automatically extinguish users’ rights.

Where Bahrain’s Consumer Protection Law applies and a Service is defective or deficient, Article 8 provides for repayment of the Service price, repayment of an amount making good the deficiency, or provision of the Service again without additional charge, according to the nature of the Service, contractual terms and commercial and professional custom.

Keeping an archived article available is not a promise to update all its information continuously. Its content should be understood in light of its publication date and context, without affecting applicable legal obligations concerning that content.

5.3 Compensation and restrictions on exclusions of liability

Liability and compensation are determined by law and the obligations agreed between the parties.

These Terms do not exclude liability for fraud or gross fault where the law prohibits such exclusion. They also contain no advance exclusion of liability for unlawful acts or of mandatory supplier obligations under consumer protection legislation. Articles 181 and 219 of the Civil Code and Article 10 of the Consumer Protection Law are particularly relevant.

Unless expressly agreed otherwise, general journalistic information is not professional advice tailored to an individual user’s circumstances. This clarification does not affect liability for unlawful content or a specific contractual undertaking.

5.4 Service complaints

Complaints may be sent to [email protected], describing the problem, identifying the Service and any order number, and explaining the remedy requested.

Complaints will be handled without unjustified delay and subject to applicable statutory deadlines. No exclusive form or unnecessary documentation is required. Making a complaint does not restrict the user’s right to approach a competent authority or court.

6. User accounts

6.1 Registration and account information

Where accounts are available, information required for the Service must be accurate and updated when necessary. Mandatory information will be distinguished from optional information.

Creating an account does not constitute consent to publication of the user’s real name, advertising or disclosure of data for marketing. Identity documents will be requested only where justified, supported by an appropriate legal basis and limited to what is necessary.

6.2 Protection of login credentials

Users must take reasonable precautions to protect their credentials and report suspected misuse without unjustified delay.

An action performed through an account is not conclusively attributable to its holder, and use of the holder’s credentials does not automatically establish liability. System logs and other evidence are assessed under the applicable law and remain open to challenge as to authenticity and evidential significance.

6.3 Temporary account restrictions

An account may be temporarily restricted where necessary because of a security risk, misuse, material breach or legal obligation. Restrictions must be limited in scope and duration to what is necessary.

Where lawful, users will be informed of the reason and how to object. A restriction does not extinguish accrued rights to performance, repayment or compensation.

6.4 Minors

Contractual capacity is governed by the applicable legal rules. Where Bahrain’s financial guardianship legislation applies, the age of majority is twenty-one completed Gregorian years, under Article 13 of Legislative Decree No. 7 of 1986.

The rules governing minors’ transactions and any required legal representation or authorisation must be observed, particularly for paid subscriptions. This does not establish a general minimum age of twenty-one for reading publicly accessible news.

7. Paid Services and consumer rights

7.1 Orders and payment obligations

Before an order is completed, the Service’s characteristics, price, currency, taxes, any additional charges, contract duration, payment frequency, renewal arrangements and cancellation conditions will be clearly presented.

Users can review their information and correct errors before confirmation. The obligation to pay must be clear when the order is submitted. Users will receive a retainable confirmation and the invoice and information required by law.

A technical acknowledgement of receipt is not final acceptance of an order unless expressly stated. The order process will identify when the contract is formed.

Where a natural person makes an error when communicating with an automated system that provides no opportunity to correct it, the right to withdraw the erroneous part of the communication under Article 14 of the Electronic Communications and Transactions Law remains available. Its conditions include notifying the other party as soon as possible after discovering the error and not having used or obtained material benefit or value from anything received, subject to the Article’s requirements.

7.2 Cancellation and refunds

Cancellation, rescission and repayment rights depend on the applicable law, the nature of the Service and the relevant contract.

Consumers retain their remedies for defective or deficient Services and their rights in cases of non-performance or delay. Where an offer includes an additional right to cancel simply because the user changes their mind, its period and conditions will be disclosed before contracting and honoured accordingly.

These Terms do not impose a blanket loss of refund rights because a Service is digital or because its use has begun. Undisclosed cancellation charges or charges that have not been validly agreed will not be imposed.

7.3 Giving a cancellation or rescission notice

Notice may be sent to [email protected] or the correspondence address below. A clear statement identifying the contract and the requested action is sufficient, together with the reason where the right depends on one.

The following form is optional. It does not replace any particular procedure or deadline required by law in the circumstances.

Model cancellation or rescission notice

To: SCANDIC TRUST GROUP LLC, IQ Business Centre, Bolsunovska Street 13–15, 01014 Kyiv / Ukraine
Email: [email protected]

- Relevant Service or subscription: …

- Contract date and order number, if available: …

- Request: Cancellation of subscription / rescission of contract / repayment, according to the applicable right.

- Reason, where required: …

- User’s name and contact details: …

- Date: …

- Signature, if submitted on paper: …

7.4 Subscriptions, trial periods and renewal

Before subscription, users will be informed of the trial period, the subsequent price, billing frequency, any automatic renewal, and how and by when renewal can be stopped.

Creating a free account or subscribing to a newsletter does not, by itself, create a paid subscription. Recurring payments require a valid and clear agreement.

Stopping renewal ordinarily prevents renewal after the current subscription period, unless an earlier termination right applies. Refunds depend on the reason for termination, the law and the contract, without reducing consumer rights.

Personal data are not treated as a monetary payment or a general licence for their use merely because a Service is provided free of charge.

7.5 Delayed performance

If a Service is not provided when agreed, the user may request performance and exercise other applicable rights, including rescission and compensation where their requirements are met.

Applicable formal notice requirements and legal procedures must be observed. These Terms impose no uniform waiting period that postpones a right the law permits the user to exercise sooner. Nor does alleging circumstances beyond the Provider’s control automatically entitle it to retain payment for a Service not provided.

8. Communications with users

8.1 Newsletters and marketing communications

Marketing communications require an appropriate legal basis and prior consent where required. Users can object or unsubscribe easily and without charge.

They may use the unsubscribe link in the message or contact [email protected]. Closing an account or terminating a paid Service is not a condition for stopping direct marketing.

8.2 Operational and contractual notices

Notices necessary for account administration, contractual performance, Service security, billing and relevant legal changes may be sent on the appropriate legal basis.

These notices will not be used to insert advertising requiring consent or circumvent an objection to marketing.

8.3 Statistical information and cookies

Processing of usage data, cookies and measurement technologies is explained in the Privacy Policy and the information for the particular tool.

Acceptance of these Terms is not blanket consent to tracking or personalised advertising. Separate consent will be sought where legally required and must meet the applicable requirements and be withdrawable. Describing processing as statistical analysis does not, by itself, justify tracking.

8.4 Surveys and voluntary participation

Participation in surveys and optional activities is voluntary unless particular information is genuinely necessary for the contracted Service.

The purposes of collection and participation conditions will be explained before information is submitted. Declining to participate does not result in the loss of an existing contractual entitlement or an additional charge.

9. Software

9.1 Licence and statutory user rights

Where software or applications are provided, users receive the licence specified for the relevant Service under its validly disclosed conditions. Use does not transfer ownership.

Copying, distribution, modification or provision of software to others outside the licence or applicable law is prohibited. Statutory rights and exceptions concerning lawful use, backup copies, technical interoperability and other permitted activities remain available where their conditions are met.

10. Termination of the contractual relationship

10.1 Termination by the user

Users may request closure of a free account through the designated function, where available, or by emailing [email protected]. Paid subscriptions are subject to their duration, valid termination conditions and applicable statutory rights.

Account closure, stopping renewal, rescinding a contract and requesting data erasure are different actions. Requests will be treated according to their actual substance. Account closure does not prevent legally required or permitted retention of data or extinguish an existing financial claim or legal right.

10.2 Termination by the Provider

A contract may be terminated on a valid legal or contractual ground, including material breach, subject to proportionality, notification, formal notice and an opportunity to remedy the breach where required by its nature and the law.

The Civil Code’s rescission rules, including Articles 140 and 141, must be observed. Closing an account does not replace applicable rescission or notice requirements, and not every breach permits immediate termination.

Termination does not justify forfeiture of advance payments for Services not provided without a legal basis. Existing repayment and compensation rights remain unaffected.

11. Additional provisions

11.1 Applicable law and jurisdiction

A contractual relationship into which these Terms have been validly incorporated is governed by the law of the Kingdom of Bahrain, subject to mandatory provisions that cannot lawfully be excluded.

Jurisdiction is determined by binding legal rules. These Terms impose neither exclusive jurisdiction on a foreign court nor compulsory arbitration. They do not prevent users from approaching a court or competent authority available to them under the law.

11.2 Personal data protection and privacy

Personal data are processed in accordance with the Personal Data Protection Law enacted by Law No. 30 of 2018 and its implementing decisions, within their scope of application, as explained in the Privacy Policy.

Acceptance of these Terms does not replace a lawful processing basis, required information or separate consent where necessary. Sharing data with service providers and transferring them outside Bahrain are subject to applicable legal requirements. These Terms do not waive statutory data protection rights.

11.3 Communications and legal notices

Electronic means may be used to form contracts and exchange communications to the extent permitted by the Electronic Communications and Transactions Law enacted by Legislative Decree No. 54 of 2018, as amended.

The rules concerning attribution, record integrity, dispatch, receipt and evidential value apply. Sending an email is not conclusive proof that it was received or that its contents were accepted.

Formal demands, court documents and other notices for which the law requires a particular form of delivery or service remain subject to that requirement. Publishing a general notice on the website does not replace individual notification required by law.

11.4 Contact point, content notices and complaints

Enquiries, complaints and notices concerning content may be sent to:

[email protected]

Please identify the relevant URL and content, explain the right or infringement alleged, and provide necessary supporting evidence and suitable contact information. Special statutory notices, including copyright notices, must satisfy their applicable legal requirements.

A complete identity document is not required merely to report a general error. Contacting the Provider first is not a general condition for instructing a lawyer, complaining to a competent authority or seeking judicial protection.

11.5 Consumer complaints and out-of-court dispute resolution

Consumers may submit complaints to the Consumer Protection Directorate of Bahrain’s Ministry of Industry and Commerce, within its jurisdiction, through the following official channels:

- Telephone: +973 17007003

- Email: [email protected]

- National Suggestions and Complaints System, Tawasul: www.bahrain.bh/tawasul

- Ministry website: www.moic.gov.bh

Relevant invoices, order confirmations, agreements and correspondence should accompany the complaint where available. These Terms do not require private arbitration or prevent court proceedings. Data protection complaints may be submitted to the competent authority through the procedures described in the Privacy Policy.

Relevant legislation and judicial decisions

Depending on the Service and the scope of the particular legislation, the following laws and their effective amendments are relevant:

- The Civil Code enacted by Legislative Decree No. 19 of 2001: contract formation, performance and interpretation, good faith, adhesion terms, rescission, compensation and liability.

- Law No. 35 of 2012 concerning Consumer Protection and its Executive Regulation issued by Decision No. 66 of 2014: commercial information, invoices, defective products and Services, consumer remedies and mandatory supplier obligations.

- The Electronic Communications and Transactions Law enacted by Legislative Decree No. 54 of 2018, amended by Law No. 29 of 2021: electronic contracting, records and signatures, and errors in dealings with automated systems.

- Law No. 22 of 2006 on the Protection of Copyright and Neighbouring Rights, as amended: protected works, licences, statutory exceptions, liability concerning online service provision and relevant notice procedures.

- The Personal Data Protection Law enacted by Law No. 30 of 2018 and its implementing decisions: lawful processing, individual rights, direct marketing, data security and transfers.

- Law No. 60 of 2014 concerning Information Technology Crimes: unlawful conduct involving electronic systems and data.

- The financial guardianship legislation enacted by Legislative Decree No. 7 of 1986: capacity, legal representation and minors’ financial transactions, together with the relevant Civil Code provisions.

- Applicable press and electronic media legislation: including Legislative Decree No. 47 of 2002 and its amendments, including Law No. 41 of 2025, within their scope of application to the relevant activity.

A published example is a Lower Civil Court judgment reported on 23 March 2026, ordering rescission and repayment following inability to perform a contract and taking account of an admission in electronic correspondence. This example is relevant within its factual context; it does not make every electronic message conclusive evidence or create an automatic right to rescind every contract.

Final provisions

These Terms must be interpreted and applied consistently with mandatory law. The court’s power to modify oppressive terms in adhesion contracts or exempt the adhering party from them, and the rules for interpreting ambiguity in that party’s favour, remain unaffected under Articles 58 and 59 of the Civil Code.

If a provision is invalid, its consequences for the remainder of the contract are determined by law, including Article 122 of the Civil Code. An invalid provision is not automatically replaced with one producing the closest economic result for the Provider.

The Arabic and English versions are intended to express the same provisions. Any difference in interpretation must be resolved under the applicable legal rules, without reducing consumer protection or other mandatory rights.
